Business Listing Service Agreement

1. DEFINITIONS

1.1. "Agreement" means this Business Listing Service Agreement.

1.2. "Business Profile" means the dedicated online page for the Vendor on the Locator.ng platform, containing the information supplied by the Vendor.

1.3. "Confidential Information" shall have the meaning ascribed in Clause 9.

1.4. "Effective Date" means the date of the Vendor's successful payment and registration as confirmed by the Company.

1.5. "Listing Period" means the duration of the subscription package selected by the Vendor (e.g., 6 months, 12 months).

1.6. "Platform" means the Locator.ng website, mobile application, and associated services.

1.7. "Subscription Fee" means the non-refundable fee payable by the Vendor for the selected Services and Listing Period.

2. SERVICES AND VENDOR OBLIGATIONS

2.1. Subject to payment of the Subscription Fee, the Company shall:

  1. Create and publish a Business Profile for the Vendor on the Platform.
  2. Make the Vendor's Business Profile searchable and visible to users of the Platform according to the Platform's standard functionality.
  3. Grant the Vendor administrative access to update certain information on its Business Profile, subject to the Company's approval.

2.2. The Vendor shall:

  1. Provide accurate, complete, and lawful information, including business name, category, description, contact details, and location ("Vendor Content") for the Business Profile.
  2. Promptly update the Vendor Content to ensure its continued accuracy.
  3. Not use the Services for any unlawful, fraudulent, or misleading purpose.
  4. Be solely responsible for all goods/services sold and interactions with customers originating from the Listing.

3. SUBSCRIPTION FEE, PAYMENT & TERM

3.1. The Vendor agrees to pay the Subscription Fee for the chosen Listing Period. The current standard rates are as follows (subject to change by the Company):
- 6-Month Basic Listing: ₦5,300- 12-Month Basic Listing: ₦9,800.

3.2. Payment shall be made in full upfront via the payment methods specified by the Company.

3.3. This Agreement shall commence on the Effective Date and continue for the duration of the Listing Period. It will not auto-renew. The Vendor will be notified near the expiry date regarding renewal options.

4. INTELLECTUAL PROPERTY

4.1. The Platform, its technology, brand name "Locator.ng", and all related logos are the exclusive property of the Company.

4.2. The Vendor grants the Company a worldwide, royalty-free license to use, display, and publish the Vendor Content solely for the purpose of providing the Services.

4.3. The Vendor warrants that it owns or has the necessary rights to all Vendor Content and that its publication will not infringe any third-party rights.

5. DISCLAIMERS AND LIMITATION OF LIABILITY

5.1. The Services are provided on an "as-is" and "as-available" basis. The Company makes no warranties regarding increased sales, customer traffic, or specific results from the Listing.

5.2. The Company does not guarantee uninterrupted, error-free, or secure operation of the Platform.

5.3. The Company shall not be liable for:

  1. Any indirect, consequential, or incidental damages (including loss of profit, business, or data).
  2. The acts, omissions, or conduct of any customer or third party.
  3. Any content posted by users on the Vendor's Profile.

5.4. The Company's total liability to the Vendor under this Agreement shall in no event exceed the total Subscription Fee paid by the Vendor for the current Listing Period.

6. DATA PROTECTION

The Company will process the Vendor's personal data in accordance with its Privacy Policy (available on the Platform) and the Nigeria Data Protection Act. By agreeing hereto, the Vendor consents to such processing.

7. TERMINATION

7.1. The Company may suspend or terminate this Agreement and the Vendor's Listing immediately if:

  1. The Vendor breaches any term of this Agreement.
  2. The Vendor's business ceases operation or becomes insolvent.
  3. The Vendor engages in illegal activity or provides false information.

7.2. Upon termination for any reason:

  1. The Vendor's access to update the Business Profile will be revoked.
  2. The Business Profile may be removed or deactivated by the Company.
  3. No refund of any portion of the Subscription Fee shall be provided.

8. FORCE MAJEURE

The Company shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including internet outages, acts of God, or government restrictions.

9. CONFIDENTIALITY

Each Party agrees to keep confidential any non-public business information disclosed by the other Party ("Confidential Information"). This obligation shall survive termination of this Agreement.

10. GENERAL PROVISIONS

10.1. Governing Law: This Agreement shall be governed by the laws of Nigeria.

10.2. Entire Agreement: This document constitutes the entire agreement between the Parties concerning the Services.

10.3. Amendment: The Company reserves the right to amend the terms of this Agreement and its service offerings. Continued use of the Services after such amendments constitutes acceptance.

10.4. No Partnership: This Agreement does not create a partnership, joint venture, or employment relationship.

10.5. Assignment: The Vendor may not assign its rights under this Agreement without the Company's prior written consent. The Company may assign its rights and obligations.

10.6. Notices: Notices to the Vendor may be sent via email or SMS to the contact details provided. Notices to the Company shall be in writing to its registered office.

ACCEPTANCE AND SIGNATURE

By making the payment for the Subscription Fee, the Vendor acknowledges that they have read, understood, and agree to be bound by all the terms and conditions of this Agreement.
